SEASON TICKET HOLDER AGREEMENT

The following terms and conditions (the “Agreement”) apply to the Minnesota United FC Season Ticket Holder Program. In this Agreement, “Minnesota United FC” means the professional Major League Soccer team operated by Minnesota United Soccer Club, LLC and “Season Ticket Holder” (including “STH,” “Itasca Society Member,” “Season Ticket Member”) means an individual or entity that has purchased or is in possession of a Season Ticket(s). A “Season” shall mean the regular season of Minnesota United FC as determined by Major League Soccer (“MLS”) each year, but shall exclude pre-season and post-season. The breach of any of the terms and conditions contained herein will automatically terminate the grant of license and benefits provided by the Season Ticket(s).

PAYMENT TERMS AND AUTOMATIC RENEWAL

By purchasing a Season Ticket, you are joining the Minnesota United FC Season Ticket Holder Program that will renew every year under the following payment terms. INDIVIDUALS OR ENTITIES WHO SELECT A SEASON TICKET EXPRESSLY AUTHORIZE THE INITIAL AND CONTINUED PAYMENTS IN ACCORDANCE WITH THEIR SELECTED PAYMENT PLAN FOR THE CURRENT SEASON AND FOR EACH SUBSEQUENT SEASON, UNTIL SUCH TIME AS THEY CHOOSE TO OPT-OUT OF THEIR SEASON TICKET AS PROVIDED HEREIN.

1. PAYMENT PLAN.
Season Ticket Holders may use one of two payment plans. A credit card is required for each Season Ticket Holder Account, including American Express, Discover, MasterCard and Visa (each a “Credit Card”).

Monthly Installment Plan. Season Ticket Holders may pay for the cost of their Season Ticket(s) for the following Season by making twelve (12) equal payments commencing on August 1st, with the next payment being due on the first day of each of the 11 next months. These twelve (12) monthly payments may be made using a Credit Card. If a Season Ticket Holder wishes to pay by check, they must submit the first month’s payment through their online account using a Credit Card, and then must ensure that MNUFC receives the check for each subsequent month before the payment is due. If a check is received after a credit card is processed for the monthly payment, MNUFC will refund any prior payments due to Season Ticket Holder.
Lump Sum Plan. Season Ticket Holder may also pay for the cost of their Season Ticket(s) for the upcoming Season by payment in full using a Credit Card. If a Season Ticket Holder wishes to pay in full by check, they must submit the first month’s payment through their online account using a Credit Card, and then submit a check for the lump sum owed for the remainder of the cost of the Season Ticket.

The Season Ticket Account will automatically renew as a monthly installment payment plan. If Season Ticket Holder wishes to pay for their Season Ticket(s) for subsequent seasons by payment in full, Season Ticket Holders must contact the MNUFC Ticket Sales & Services Department prior to the July 30th renewal deadline.

2. LATE-PURCHASER SEASON TICKET DUES.

Full Season. Any Season Ticket Holder that purchases Season Tickets after July 30 for the subsequent season will be required to make equal monthly payments for the months remaining until July 1. Once the plan renews, it will revert to a 12-month payment plan. (For example, if season ticket is purchased in August, the account will be placed on an 11-month payment plan for that year only.)
Pro-Rated. Season Tickets purchased on a date after the first Regular Season home match has been played in a current Season may be eligible for reduced Season Ticket dues. Please contact the MNUFC Ticket Sales & Services Department for further details regarding pro-rated Season Ticket dues.

3. AUTOMATIC TICKET RENEWAL.

WITH THE PURCHASE OF A SEASON TICKET, SEASON TICKET HOLDER AGREES TO ENTER INTO AN AUTOMATIC RENEWAL SEASON TICKET PROGRAM. THROUGH THIS PROGRAM, SEASON TICKET HOLDERS WILL HAVE THEIR SEASON TICKET(S) AUTOMATICALLY RENEWED FOR THE UPCOMING SEASON EACH JULY 30TH, UNTIL SUCH TIME AS THEY CHOOSE TO OPT-OUT OF THEIR SEASON TICKET(S) IN ACCORDANCE WITH THE PROCEDURES SET FORTH IN THIS AGREEMENT.

RENEWAL NOTICE. Minnesota United FC will send a renewal notice to Season Ticket Holders at least 30 days prior to July 30th each year. This renewal notice will specify any changes to the price of the Season Ticket(s) for the upcoming Season as well as any other material changes to the Season Ticket benefits. Minnesota United FC reserves the right to introduce new pricing and benefits before each season, in phases or at once before the renewal deadline.
OPT-OUT. Season Ticket Holders may opt-out of their Season Ticket(s) for the upcoming Season any time before July 30th by providing an opt-out notice to the MNUFC Ticket Sales & Services Department, either by calling 763.4SOCCER, sending an email to tickets@mnufc.com, or by mail to 4150 Olson Memorial Highway, Suite 300, Golden Valley, MN 55422. Any Season Ticket Holder who opts-out of the next Season will retain Season Ticket Holder status for the remainder of the current Season and any outstanding or future Season Ticket payments relating to the current Season must be paid by the Season Ticket Holder. Any Season Ticket Holder who opts-out of the next Season will lose Season Ticket Holder status for the subsequent season. If notice of cancellation is not received by Minnesota United FC within the time frame specified above, the Season Ticket Holder’s ticket(s) shall be automatically renewed for the upcoming Season and the Season Ticket Holder’s first payment shall be due and payable in accordance with the Payment Plan set forth above.
CANCELLATION. Season Ticket Holders may cancel their Season Ticket(s) at any time during a Season for any reason with 30 days’ notice by providing a cancellation notice to the MNUFC Ticket Sales & Services Department, either by calling 763.4SOCCER, sending an email to tickets@mnufc.com, or by mail to 4150 Olson Memorial Highway, Suite 300, Golden Valley, MN 55422. Any Season Ticket Holder who cancels their Season Ticket(s) will not receive any refunds for any installment payments made prior to the cancellation and will have all Season Ticket benefits suspended at the time of cancellation.

SEASON TICKET TERMS AND CONDITIONS

1. REVOCABLE LICENSE

Minnesota United FC owns and controls all rights to Season Tickets and seat locations for Minnesota United FC home matches at Allianz Field (“Stadium”). A purchaser of the Season Ticket(s) obtains a limited license, in the form of the Season Ticket(s), to use the seat location at the Stadium designated by the Season Ticket(s). Minnesota United FC, in its sole and absolute discretion, may revoke this license at any time for any reason, with or without providing a refund. This license is granted on a match-to-match basis, and is subject to all rules, regulations and policies relating to Season Tickets as established from time to time by Minnesota United FC, the Stadium and MLS. Breach of any of the terms of this Agreement or relevant ticket policies shall entitle Minnesota United FC to take all available legal remedies, including but not limited to revocation or cancellation of your Season Ticket(s).

2. PAYMENT AUTHORIZATION

Season Ticket Holder understands that by clicking “Agree” to the Terms and Conditions, Season Ticket Holder is authorizing Minnesota United FC to bill the Season Ticket Holder for Season Ticket dues in accordance with the payment terms that the Season Ticket Holder selects. For all Season Ticket payments, this payment authorization shall remain in effect for so long as the Season Ticket(s) remains in effect. All deposits and/or payments made are non-refundable.

The Season Ticket Holder hereby represents and warrants that the Season Ticket Holder has the authority to approve charges in accordance with the listed payment information for the purpose of paying the Season Ticket dues. The Season Ticket Holder understands and agrees that Minnesota United FC is not liable in any way for erroneous billing statements or incorrect charges, and that in the event of such a billing error, Minnesota United FC’s only responsibility is to correct it after it receives notice of the error.
The Season Ticket Holder understands that it is solely the Season Ticket Holder’s responsibility to ensure the Season Ticket Holder’s payment information is current and to notify Minnesota United FC of any deficiencies, and that the Season Ticket Holder’s failure to do so within the specified time frame may result in a loss of Season Ticket privileges and potential revocation of the Season Ticket(s). All payments for the Season Ticket(s) are due on the dates specified regardless of match cancellations or rescheduling – refunds will be addressed in accordance with the applicable policy in effect at that time of the applicable match.

3. DECLINED PAYMENT
If the Credit Card is declined for a payment for any reason, Minnesota United FC will re-run the Credit Card 24 hours later, and again 48 hours after the payment was initially declined. If at this point payment has not been made, Minnesota United FC will attempt to notify the Season Ticket Holder by email and/or telephone to request that the payment information be updated. If the issue with the Credit Card is not remedied within 30 days of the date payment was initially declined, Minnesota United FC shall have the authority and absolute discretion to cancel the Season Ticket Holder account, suspend Season Ticket benefits, suspend the Season Ticket(s) barcode and re-sell the Season Ticket(s), or take other action as deemed appropriate by Minnesota United FC.

4. SEASON MATCHES
The Season Ticket Holder will receive tickets in a given season to all MLS regular season matches and one additional match at MNUFC’s discretion. Season Tickets do not convey rights to playoff matches, MLS Cup Final, Lamar Hunt US Open Cup matches, Leagues Cup matches, or Concacaf Champions League matches, except as elsewhere provided in this Agreement. The additional match awarded to Season Ticket Holders will be at MNUFC’s discretion (in addition to MLS regular season matches), and may include a non-MLS friendly, a Leagues Cup match, or any other match determined in MNUFC’s sole discretion.

5. PLAYOFF AND CERTAIN TOURNAMENT TICKETS

Because of post-season variability, each playoff match and certain tournament matches are at an additional cost above the annual Season Ticket payment and the seats associated with each Season Ticket cannot be guaranteed. If the seats associated with a Season Ticket are retained for the playoffs, the Season Ticket Holder must opt-out or else the playoff ticket(s) will be charged to the Season Ticket Holder’s account in advance of the playoffs. In no event will playoff tickets include MLS Cup final. Ticket Holder must similarly opt-out of any Leagues Cup matches and Concacaf Champions League matches that are not included as an additional match or else those tickets will be charged to the Season Ticket Holder’s account in advance of those tournaments. Upon release of the playoff or tournament schedule, Minnesota United FC shall send Season Ticket Holders a notice of ticket pricing information, whether the Season Ticket Holder’s seat(s) are retained, and a process for opting out and the date by which the Season Ticket Holder must opt-out. This opt-out process will occur only once for the playoffs and only once for each tournament, and the Season Ticket Holder will either authorize or opt-out of all playoff or tournament matches ultimately realized by Minnesota United FC. Payment for individual playoff and tournament matches will occur as those matches are realized. IF THE NOTICE OF OPT-OUT FOR THE PLAYOFFS OR TOURNAMENT MATCHES IS NOT RECEIVED BY MINNESOTA UNITED FC WITHIN THE TIME FRAME AS SPECIFIED, SEASON TICKET HOLDER WILL AUTOMATICALLY RECEIVE TICKETS FOR THE PLAYOFF AND TOURNAMENT MATCHES THAT SEASON, AS APPLICABLE, AND THE SEASON TICKET HOLDER’S PAYMENT SHALL BE DUE AND PAYABLE IN ACCORDANCE WITH THE TICKET PRICING INFORMATION PROVIDED. This opt-out shall cause no change to the Season Ticket Holder’s status.

If Season Ticket Holder has already submitted an opt-out of the Season Ticket Automatic Renewal for the subsequent season to Minnesota United FC, Season Ticket Holder will not be charged in advance of the playoffs or tournaments. Instead, if the seats associated with the Season Ticket(s) are retained for the playoffs and tournaments, Season Ticket Holder will receive a notice providing Season Ticket Holder with a right of first refusal to purchase their seats at a new price. If Season Ticket Holder does not exercise the right of first refusal in the time specified in the notice, Season Ticket Holder will forego any rights to the seat during the playoffs or tournaments.

With respect to the Lamar Hunt US Open Cup only, Minnesota United FC shall send Season Ticket Holders a notice of ticket pricing information, a process for opting in, and the date by which the Season Ticket Holder must opt-in. The Season Ticket Holder’s seat(s) will not be retained, and Season Ticket Holder must select new seats through a nonrefundable deposit of one dollar ($1) per seat. This opt-in process will occur only once for the Lamar Hunt US Open Cup, and the Season Ticket Holder will opt-in for all Lamar Hunt US Open Cup matches ultimately realized by Minnesota United FC. Payment for individual Lamar Hunt US Open Cup matches will occur as those matches are realized, and the deposit will count toward the first game tickets, if Minnesota United FC host a match in that season.

6. ACCOUNT OWNERSHIP

The Season Ticket Holder can be either an individual or business entity. Each Season Ticket Holder must provide a full legal name, email, phone number, address and payment information (VISA, MasterCard, Discover or American Express) (the “account holder of record”). If the Season Ticket Holder is a business entity, a contact name must be provided as the account holder of record. A Season Ticket Holder may also register named “Share Partners” on their account, subject to the policies of Minnesota United FC. All Share Partners and other users of the Season Tickets aside from the Season Ticket Holder are “Season Ticket Users” subject to the terms and conditions of this agreement. Any rights or privileges associated with a Season Ticket belong only to the account holder of record as entered on MNUFC’s records.

7. CHANGE OF ACCOUNT INFORMATION

The Season Ticket Holder is responsible for ensuring that all information associated with the Season Ticket Holder Account (e.g., address) is current and must notify MNUFC Ticket Sales & Services Department of any change in account information to insure prompt delivery of Season Ticket(s), notices and other dated material. All requests for account information changes must be submitted in writing with proper documentation.

A business entity may request a change in the name of the account holder of record for its account at any time. Minnesota United FC reserves the right to require that any transaction pertaining to a Season Ticket held in a corporate name be supported by appropriate corporate confirmation documents.

8. SEASON TICKET TRANSFER PROHIBITED

Season Ticket Holders are prohibited from transferring their Season Ticket to any person, whether by a request to transfer the account into another name, or by an attempt to transfer the seat locations by sale, gift, transfer by will or trust, property settlement, transfer to creditors, or any other means. Any attempt to sell or otherwise transfer Season Ticket privileges to third parties will not be recognized by Minnesota United FC and may result in cancellation of the Season Ticket and all Season Ticket Holder privileges. Any court order directing distribution of the Season Ticket(s) to a person not listed as the Season Ticket Holder, whether in bankruptcy or otherwise, may result in Minnesota United FC immediately exercising its right to revoke the license represented by the Season Ticket(s), including any Season Ticket renewal privileges, upon refund by Minnesota United FC of all amounts paid for matches that have not yet been played.

Minnesota United FC generally recognizes three exceptions to the above policy. First, Minnesota United FC will generally allow Season Tickets to be transferred to Season Ticket Holder’s immediate family upon the death of Season Ticket Holder. Immediate family Season Ticket Holders shall be defined as a person's spouse and relatives by birth or marriage including siblings, parents, children, in-laws, and any financial dependents. A request to transfer Season Ticket privileges to an immediate family Season Ticket Holder of a deceased Season Ticket Holder must be submitted to Minnesota United FC in writing by the deceased's personal representative or other authorized representative, and must be supported by appropriate documentation satisfactory to Minnesota United FC. Such documentation may include but is not limited to a death certificate, probate or trust documents, and proof of relationship.

Second, if the Season Ticket Holder is a business entity, Minnesota United FC will generally allow Season Ticket to be transferred upon the sale or dissolution of an entity. A request to transfer season ticket privileges of an entity account must be submitted to Minnesota United FC in writing by the contact person for the account, and must be supported by appropriate documentation satisfactory to Minnesota United FC. Such documentation may include but is not limited to corporate resolutions, asset or stock purchase agreement, and/or dissolution documents. Minnesota United FC reserves the right to approve or reject any such requests in its sole and absolute discretion.

Third, a Season Ticket Holder may transfer one or more of their seats to a Share Partner previously named on their account. To transfer seats to a Share Partner the Season Ticket Holder must complete and sign a form supplied by Minnesota United FC and pay a $100 transfer fee per seat.

9. PROHIBITION ON ADVERTISING AND PROMOTION

Season Tickets and Season Ticket Holder privileges may not be used for advertising, promotion (including contests and sweepstakes) or other trade purposes without the express written consent of Minnesota United FC.

The Season Ticket Holder and each Season Ticket User is admitted to Minnesota United FC events on the condition that the Season Ticket Holder agrees that the Season Ticket Holder or Season Ticket User will not record or transmit or aid in recording or transmitting any description, account, picture or reproduction of the event to which the Season Ticket Holder or Season Ticket User is admitted.

10. PROMOTIONAL USE OF SEASON TICKET HOLDER IMAGE

The Season Ticket Holder, both for the Season Ticket Holder and for any Season Ticket User, grants permission to Minnesota United FC and MLS (and their respective affiliates, designees, representatives and agents) to utilize the Season Ticket Holder or Season Ticket User’s image, likeness, actions and statements in any live or recorded audio, video or photographic display or other transmission, exhibition, publication or reproduction made of or at the match in any medium or context for any purpose, including commercial or promotional purposes, without further authorization or compensation, and further authorizes the use of the Season Ticket Holder or Season Ticket User’s image or likeness in connection with the promotion of the Minnesota United FC, the MLS and the sport of soccer.

11. SEASON TICKET RELOCATION

Each year Minnesota United FC may offer an opportunity to relocate Season Tickets for the subsequent year after the ‘opt-out’ period. Relocation opportunities may be based on a handful of factors, including but not limited to current season ticket location, consecutive years of Season Tickets (tenure) and availability.

MNUFC reserves the right to relocate Season Ticket Holders during the Season and the playoffs to accommodate broadcast or security requirements, or for any other reasonable purpose in the sole discretion of Minnesota United FC. Season Ticket Holders will not be eligible for any refunds of any installment payments made prior to the relocation if the Season Ticket Holder subsequently chooses to cancel the Season Ticket as a result of the relocation.

12. TICKET RESALE RESTRICTED

Except as prohibited herein, Season Ticket Holders may transfer their individual match tickets to any person, provided that the Season Ticket Holder shall be responsible for ensuring that any person using a transferred ticket (regardless of whether that person is the initial transferee or a subsequent transferee, each a “Season Ticket User”) complies with all applicable terms of this Agreement and the Season Ticket Holder will be responsible for all acts and omissions of each Season Ticket User as if such act or omission was that of the Season Ticket Holder.

Except as provided herein, resale or attempted resale of any Season Ticket or any Minnesota United FC match ticket at a price higher than that printed thereon or paid, including tax, unless previously expressly authorized in writing by the Minnesota United FC, is prohibited, and the Minnesota United FC may, in their discretion and in addition to any other remedy, seize match individual and cancel the Season Ticket(s) without refund or other compensation.

Notwithstanding the foregoing, Season Ticket Holders may list and sell their individual match tickets through the SeatGeek platform at any reasonable price, including a price higher than that printed thereon or paid. Season Ticket Holders shall not be responsible for ensuring that purchasers of individual match tickets through SeatGeek comply with the terms of this Agreement, and shall not be responsible for all acts and omissions of purchasers of individual match tickets through SeatGeek.
MNUFC reserves the right to cancel the Season Ticket(s) of any individual who sells more than 50% of their Season Ticket(s). MNUFC has sole discretion to cancel any Season Ticket Holder’s account for any reason—specifically including anyone buying Season Tickets for the sole purpose of reselling the Season Tickets.

13. SEASON TICKET RIGHTS / PRIVILEGES RESTRICTED

Minnesota United FCs acceptance of payment for a Season Ticket from any individual or entity who is not the account holder for such Season Ticket does not grant any rights to such Season Ticket to such individual or entity. Any rights or privileges associated with a Season Ticket belong only to the account holder of record as entered on Minnesota United FC’s records. Minnesota United FC reserves the right to require that any transaction pertaining to a Season Ticket held in a corporate name be supported by appropriate corporate resolutions or other documents.

14. SEASON TICKET SUBJECT TO RULES, REGULATIONS AND POLICIES

Season Ticket Holders agree to abide by applicable rules, regulations, or policies set by Minnesota United FC, MLS, and Stadium, including without limitation, the MLS Fan Code of Conduct (), any applicable Minnesota United FC policies, or Stadium rules, policies, and codes of conduct (collectively “Minnesota United FC Policies”). Season Ticket Holders further acknowledge that they will be bound and agree to abide by any modification or amendment of the foregoing rules, regulations and policies as may apply from time to time.

15. FAN BEHAVIOR

All Season Tickets remain the property of Minnesota United FC and each is a revocable license that may be withdrawn, and admission refused anytime. Season Ticket Holders are responsible for the actions of themselves and Season Ticket Users. Season Ticket Holders or Season Ticket Users engaging in disorderly or objectionable conduct in violation of the Minnesota United FC policies may be ejected from the event without refund of the ticket price.

Minnesota United FC reserves the right to terminate the Season Ticket in its entirety if the Season Ticket Holder or any Season Ticket User engages in disorderly conduct or otherwise fails to follow Minnesota United FC Policies. In the event of such behavior, Minnesota United FC reserves the right, in its sole discretion, to terminate or revoke the Season Ticket without a refund for amounts paid, and the Season Ticket Holder waives its right to any such refund.

Minnesota United FC reserves the right to refuse admission or eject any person who violates Minnesota United FC Polices or whose conduct is deemed disorderly or for the protection of patrons. All persons seeking entry into the Stadium specifically consent to and are subject to metal detector, bag searches and physical pat-down inspections prior to entry, as well as any other Minnesota United FC Policies upon entry.

16. DISTRIBUTION OF TICKETS

Season Ticket Holders will receive their tickets prior to the first match of the Season. A physical address (not a PO Box address) and email address are required for each Season Ticket Holder account. Billing addresses must match shipping addresses. Season Tickets will be provided electronically. Season Tickets may take the form of match tickets, print outs, or digital tickets (collectively “Season Tickets”). If digital Season Tickets are provided, MNUFC may provide Season Ticket Holder with physical Season Tickets, in MNUFC’s sole discretion, upon payment by Season Ticket Holder of fifty dollars ($50) to cover individual printing costs.

17. LOST OR STOLEN TICKETS

Lost or stolen Season Tickets can be replaced only under the conditions set forth by Minnesota United FC management, and only to the Season Ticket Holder. Re-printed Season Tickets will be issued upon payment of up to the full face value of the lost Season Tickets. Reports of stolen Season Tickets must be accompanied by a police report indicating the circumstances of the theft. Stolen Season Tickets (with police report) will be replaced without additional charges.

18. REFUND & RAINOUT POLICY

No refunds, exchanges or cancellations are permitted unless Minnesota United FC is unable to fill your order. Refunds will not be granted due to a match date or time change.

Minnesota United FC reserves the right to change the date and/or starting time of any event or match and no such change shall entitle the Season Ticket Holder to a refund. In the event of cancellation of an event or match, Minnesota United FC shall not be required to issue a refund provided that the Season Ticket Holder is given the right, within twelve months of the date of the original event, to attend a rescheduled performance of the same event or to exchange the individual match ticket for a comparable ticket to another similar event as designated by Minnesota United FC in its sole discretion.

If a match or event is not rescheduled within twelve months of the date of the original event, the individual match ticket must be exchanged by the Season Ticket Holder for a ticket of the same price, if available, for any future regularly scheduled match of the current season. A rain check exchange may be made in person at the Minnesota United FC box office, during hours of operation, or by contacting the MNUFC Ticket Sales & Services Department, either by calling 763.4SOCCER, sending an email to tickets@mnufc.com, or by mail to 4150 Olson Memorial Highway, Suite 300, Golden Valley, MN 55422. If a match is rescheduled, NO REFUNDS or EXCHANGES will be issued. The original match ticket will be valid for the makeup match.

19. SEASON TICKET HOLDER BENEFITS

In addition to the Season Ticket(s), Minnesota United FC may provide certain Benefits to Season Ticket Holders in Minnesota United FC’s sole and absolute discretion. These benefits may include a merchandise discount, parking access, and other benefits at the Stadium. Season Ticket Holder Benefits will be communicated to Season Ticket Holders in advance of each season. Minnesota United FC may revoke, modify, or differentiate Season Ticket Holder Benefits for any reason, among all or any number of Season Ticket Holders.

20. SEAT SELECTION

Season Ticket Holders will be given an opportunity to select seats at the Stadium using a virtual seat selection tool. Despite best efforts, Minnesota United FC cannot guarantee that the seat selection tool will provide a completely accurate representation of the stadium, selected seat(s), and surrounding area. The seat selection process does not provide a guarantee of visibility, access, or even the existence of a particular seat in the stadium.

21. RELEASE OF LIABILITY

THE SEASON TICKET HOLDER, BOTH FOR THE SEASON TICKET HOLDER AND FOR EACH SEASON TICKET USER, ACKNOWLEDGES THE RISKS INHERENT IN ATTENDING A LIVE SPORTING EVENT AND (i) VOLUNTARILY ASSUMES ALL RISKS AND DANGERS arising from or related in any way to attendance at the event in respect of which a ticket has been issued, whether occurring prior to, during or after such an event, including but not limited to the risk of lost, stolen or damaged property and the risk of personal injury or death, including all risk of injury or death resulting from the negligence or misconduct of other patrons, (ii) agrees to be bound by the terms printed on the back of each match ticket provided that if there is any necessary conflict between the terms on the match ticket and the terms of this Agreement, the terms of this Agreement will govern, and (iii) AGREES THAT THE MLS, MINNESOTA UNITED FC, STADIUM, THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES AND RELATED ENTITIES, AND THEIR RESPECTIVE EMPLOYEES, VOLUNTEERS, PLAYERS, OFFICERS, DIRECTORS, PARTNERS, OWNERS, SPONSORS, CONTRACTORS AND OTHER AGENTS SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE OR INJURY RESULTING FROM SUCH CAUSES AND ARE EXPRESSLY RELEASED FROM SAME.

22. INDEMNIFICATION

THE SEASON TICKET HOLDER, BOTH FOR THE SEASON TICKET HOLDER AND FOR EACH SEASON TICKET USER, AGREES TO INDEMNIFY AND HOLD HARMLESS, THE MLS, MINNESOTA UNITED FC, STADIUM, THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES AND RELATED ENTITIES, AND THEIR RESPECTIVE EMPLOYEES, VOLUNTEERS, PLAYERS, OFFICERS, DIRECTORS, PARTNERS, OWNERS, SPONSORS, CONTRACTORS AND OTHER AGENTS FROM ANY CLAIMS, CAUSES OF ACTION, LAWSUITS, JUDGMENTS OR OTHER DAMAGES ARISING FROM THE SEASON TICKET HOLDER OR SEASON TICKET USER’S VIOLATION OF MINNESOTA UNITED FC POLICIES.

23. AGREEMENT MODIFICATION

Minnesota United FC reserves the right to amend these Terms and Conditions and the Season Ticket Agreement terms in its sole discretion by posting such amendments (the “Amendments”) to the Minnesota United FC website (http://www.mnufc.com). This specifically includes changes to the branding of the season ticket program or auto-renewal program.
If Amendments are to take effect upon commencement of a subsequent Season, Season Ticket Holders will be notified of any such Amendments prior to any renewal date for the Season Ticket.
If Amendments are to take effect during the current Season and in the discretion of the Minnesota United FC are reasonably necessary to address safety, security or emergency situations, Season Ticket Holders will be informed of any such Amendments upon the Amendments taking effect and will not entitle a Season Ticket Holder to any refunds of any payments made prior to the Amendments if the Season Ticket Holder subsequently chooses to cancel the Season Ticket as a result of the Amendments.

24. NOTICES AND REQUESTS

All notices and requests relating to a Season Ticket account, whether or not described above, must be given in writing by the Season Ticket Holder to the attention of the MNUFC Ticket Sales & Services Department, either via email to tickets@mnufc.com or by mail to 4150 Olson Memorial Highway, Suite 300, Golden Valley, MN 55422. No notice or request will be effective or acted upon by Minnesota United FC until received in writing. All correspondence concerning a Season Ticket account should include the account number and daytime phone number for the Season Ticket Holder. Notices and requests from Minnesota United FC are communicated to Season Ticket Holders via several methods, independent of and/or in combination with each other, and include but are not limited to U.S. Postal Service, telephone, e-mail or other social media outlets. It is the Season Ticket Holder's sole responsibility to maintain accurate, current and complete contact information on their Season Ticket account. Season Ticket Holder consents to receive email, text message, and other electronic communications at the email address and contact information provided to MNUFC regarding the Season Tickets; the Stadium; Security Procedures; Rules and Policies; Parking, Traffic or other Transportation Issues; other events scheduled at the Stadium; information relating to MNUFC, such as rights to purchase additional tickets; offers for affiliated products and services, and; other circumstances in which MNUFC may need to contact Season Ticket Holder.

25. GOVERNING LAW

These Terms shall be governed by the laws of the State of Minnesota without regard to its conflict of laws provisions. Any action or proceeding arising out of or relating to this Agreement must be brought in the courts in the state of Minnesota. The Season Ticket Holder knowingly, voluntarily and irrevocably submits to the exclusive jurisdiction of the courts located in either Hennepin or Ramsey County, Minnesota in any such action or proceeding and waives any objection it may now or hereafter have to venue or to convenience of forum.

26. MISCELLANEOUS

In the event any issue or matter relating to the Season Ticket is not covered, or if there is a question of interpretation of the policies and procedures or in the event of any dispute between Minnesota United FC and any Season Ticket Holder or Season Ticket User, or any Season Ticket Holder and a third party in regard to the Season Ticket(s), Minnesota United FC reserves the right to make all final decisions and determinations and take all actions necessary, in its sole and absolute discretion, to resolve or dispute the issue. Minnesota United FC further reserves the right to modify and/or terminate any or all of the foregoing policies or procedures from time to time with or without prior notice to Season Ticket Holders.

27. ACCEPTANCE OF TERMS AND CONDITIONS

Upon remitting any full or partial payment toward your annual Season Ticket dues, or by accepting delivery of your Season Ticket(s) and Season Ticket Holder benefits, you acknowledge responsibility for payment of the full annual Season Ticket price, confirm that you have read and understand this Agreement, and accept and agree to the complete terms and conditions of Minnesota United FC’s Policies, subject to any amendments made to the foregoing from time to time.
The invalidity of any provision of this Agreement shall in no way affect the validity of any other provision hereof. This Agreement contains all agreements of the parties with respect to the subject matter hereof and supersedes, cancels and replaces any other agreement, representation or understanding of any kind or nature.
